Welcome to Nookinary. We sell kitchen tools, cookware accessories, kitchen sinks, and home storage products chosen to make everyday cooking and organizing easier. These Terms of Service ("Terms") govern your access to and use of the website located at nookinary.com, together with any related pages, content, features, and services we offer (collectively, the "Site"), and your purchase of products through the Site. The Site is owned and operated by Bambi Brands LLC, which does business as Nookinary ("Nookinary," "we," "us," or "our"). When these Terms say "you," we mean you, the person browsing or buying.

We've tried to keep these Terms friendly and readable, but they are still a binding agreement, so please read them carefully before using the Site or placing an order. They include important provisions that affect your legal rights, including a limitation of liability and a section describing how disputes are resolved. If you have questions, we're happy to help. 1. Agreement to These Terms

By accessing or using the Site, browsing our products, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all policies referenced in them, including our Shipping Policy, Refund Policy, and Privacy Policy. Together, these make up the entire agreement between you and us regarding your use of the Site and your purchases.

If you don't agree with any part of these Terms, please don't use the Site or place an order. We may update these Terms from time to time as described in the "Changes to These Terms" section below, and your continued use of the Site after an update takes effect constitutes your acceptance of the revised Terms.

2. Eligibility and Age

The Site is intended for users who are at least 18 years of age, or the age of majority in their state of residence, whichever is greater. By using the Site or placing an order, you represent and warrant that:

You are at least 18 years old, or are using the Site under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf;
You have the legal capacity and authority to enter into a binding contract;
All information you provide to us is accurate, current, and complete; and
Your use of the Site does not violate any applicable law or regulation.

We do not knowingly collect or solicit personal information from, or sell products to, individuals under the age of 18. If you believe a minor has provided us with personal information, please contact us at hi@nookinary.com. If you are using the Site on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Geographic Scope

Nookinary is a US-based store operated by Bambi Brands LLC in Miami, Florida. We currently sell and ship our products only to addresses within the United States, and most orders ship directly from our supplier partners in China, while a few larger items ship from US warehouses. We make no representation that the Site or our products are appropriate or available for use in other locations, and we do not offer products where prohibited by law. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

4. Your Account

You can browse the Site and place orders without creating an account, but creating one makes checkout and order tracking easier. If you do create an account, a few simple responsibilities come with it.

4.1 Keeping Your Information Accurate. Please provide accurate, current, and complete information when you sign up, and keep it up to date. This helps us get your order to the right place and reach you if anything comes up.

4.2 Keeping Your Account Secure. You're responsible for keeping your login details private and your account secure, and for all activity that occurs under your account. Please don't share your login, and log out at the end of each session when using a shared device. If you notice any unauthorized access to or use of your account, let us know right away at hi@nookinary.com.

4.3 Account Suspension and Termination. We may suspend, restrict, or close an account, refuse service, or cancel orders if we reasonably believe an account is being used in a way that breaks these Terms, involves false information or fraudulent or unlawful activity, or puts the Site, our team, or other customers at risk. Wherever practical, we'll act in good faith and let you know.

5. Products, Descriptions, and Pricing

We sell kitchen and home products, including prep and cutting tools, cooking and baking tools, drinkware and coffee gear, kitchen sinks, and storage and organization products. We work hard to describe and photograph them honestly. That said, we can't guarantee that every product description, color, dimension, material, image, price, or other detail on the Site is completely accurate, current, or error free.

5.1 Colors and Appearance. Actual colors, textures, and finishes may vary from what you see on your screen due to differences in display settings, lighting, photography, and normal manufacturing variation. Some images on the Site are styled or illustrative to show how a product can be used. Such variations are normal and do not constitute a defect.

5.2 Pricing and Errors. All prices are shown in US dollars and may change at any time before you place an order. Despite our best efforts, a product may occasionally be listed with an incorrect price or description. We reserve the right, at any time and without prior notice, to:

Correct any errors, inaccuracies, or omissions in product descriptions, pricing, promotions, availability, or other information, even after an order has been submitted;
Change or update such information at our discretion; and
Cancel, refuse, or limit any order placed for a product that was listed at an incorrect price or with an incorrect description, even after the order has been confirmed and your payment method charged.

If a product's correct price is higher than the price shown, we'll either contact you for confirmation before shipping or cancel the order and let you know. If we cancel an order because of a pricing or description error and your payment method has already been charged, we will refund the affected amount.

5.3 Availability. All products are subject to availability, and we may discontinue or modify any product at any time. We do not warrant that any particular product will be available or in stock.

6. Orders, Order Acceptance, and Refusal of Service

When you place an order through the Site, you are making an offer to purchase the products in your cart subject to these Terms. All orders are subject to acceptance by us.

6.1 Confirmation and Acceptance. An order confirmation email means we've received your order; it does not by itself mean we've accepted it. A contract of sale is formed only when we accept your order, which generally occurs when we ship the products to you or send a notice that they have shipped. We may accept or decline your order, in whole or in part, at our discretion.

6.2 Refusing or Canceling Orders. We may refuse, cancel, or limit any order for any reason permitted by law, including when:

The product is out of stock or no longer available;
There's an error in pricing, product, or promotional information;
We suspect fraud, abuse, or unauthorized activity;
The order appears to be for resale rather than personal use, unless we've agreed otherwise;
We're unable to verify or authorize your payment or shipping information; or
The order exceeds quantity limits we set per person, per household, or per order.

If we cancel an order after your payment method has been charged, we will refund the amount charged for the cancelled portion.

6.3 Changing or Canceling Your Order. If you need to change or cancel an order, please contact us as soon as possible at hi@nookinary.com or through our contact page, and we'll do our best to help. We cannot guarantee that changes can be made once an order has entered processing or shipped.

7. Payment, Authorization, and Promotional Codes

7.1 Payment Authorization. You agree to pay all charges incurred in connection with your order, including the product price and applicable taxes, at the prices in effect when the charges are incurred. By submitting an order, you represent that you are authorized to use the payment method provided and that your billing information is true and accurate, and you authorize us and our third-party payment processors to charge that payment method for the total amount of your order. If your payment method cannot be verified, is invalid, or is later reversed, declined, or charged back, we may suspend or cancel your order.

7.2 Taxes. You are responsible for any applicable sales, use, or similar taxes shown at checkout.

7.3 Promotional Codes. From time to time we may offer discount codes or promotional offers. Unless otherwise stated, these are valid only for the specified period and while supplies or offers last; apply only to qualifying products and cannot be combined with other offers; have no cash value and cannot be applied to past orders; are non-transferable; and may be modified, limited, or revoked at any time, including in cases of suspected fraud, abuse, or error.

8. Shipping, Risk of Loss, and Title

We offer free standard shipping on all orders within the United States. Processing times, delivery times, tracking, and related details are described in our Shipping Policy, which is incorporated into these Terms by reference.

Except where applicable law provides otherwise, title to and risk of loss for products pass to you once we hand them over to the carrier. Estimated delivery dates are estimates only and are not guaranteed, and we are not liable for delays caused by carriers or other events outside our reasonable control. If a package is lost or damaged in transit, we'll help you make it right as described in our Shipping Policy and Refund Policy.

9. Returns and Refunds

We offer a 30-day return window, with free returns within the United States, for eligible orders. The complete details, conditions, eligibility, and process for returns and refunds are set out in our Refund Policy, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Refund Policy with respect to returns and refunds, the Refund Policy controls.

10. Intellectual Property and Trademarks

The Site and all of its contents, including text, graphics, logos, icons, images, photographs, videos, copy, page layouts, software, and the selection and arrangement of the foregoing (collectively, the "Content"), are owned by or licensed to Nookinary and are protected by United States and international copyright, trademark, and other intellectual property laws. "Nookinary," our logos, and related names and slogans are trademarks of Nookinary. You may not use these marks without our prior written permission. All other trademarks appearing on the Site are the property of their respective owners.

10.1 Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for your personal, non-commercial purposes. You may not, without our prior written consent, reproduce, distribute, modify, or create derivative works of the Content; use the Content or our images for any commercial purpose; scrape, frame, mirror, or use automated means to access or copy the Content; or remove or alter any proprietary notices. All rights not expressly granted to you are reserved.

11. Copyright Complaints (DMCA)

We respect the intellectual property rights of others. If you believe that content on the Site infringes a copyright you own or control, please send a written notice that includes: a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; identification of the copyrighted work; identification of the material you claim is infringing and information sufficient to let us locate it; your contact information; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf. Send notices to hi@nookinary.com with the subject line "DMCA Notice." We may remove or disable access to material claimed to be infringing and, in appropriate circumstances, terminate the accounts of repeat infringers.

12. Your Content and Product Reviews

You may have the opportunity to submit reviews, ratings, comments, photos, feedback, or other materials to the Site or our social channels ("User Content"). You are solely responsible for the User Content you submit.

12.1 License You Grant Us. By submitting User Content, you grant Nookinary a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, publish, and display that User Content in any media in connection with our business, including for marketing, without compensation to you. You can ask us to remove your User Content from our own channels at any time by contacting us at hi@nookinary.com, and we'll honor reasonable requests.

12.2 Your Representations. By submitting User Content, you represent that you own or control all rights to it, that it is accurate and reflects your honest opinion or experience, and that it does not infringe the rights of any third party.

12.3 Content Standards. Please don't submit User Content that is false, misleading, or fraudulent (including undisclosed incentivized reviews); defamatory, obscene, abusive, harassing, hateful, or threatening; infringing on someone else's intellectual property or privacy; spam or unrelated advertising; or unlawful or containing harmful code.

12.4 Our Rights. We have no obligation to monitor User Content, but we may review, edit, refuse, or remove any User Content at our discretion. User Content reflects the views of the person who posted it, not ours.

13. Acceptable Use and Prohibited Activities

You agree not to:

Violate any applicable law, regulation, or third-party right;
Engage in any fraudulent or deceptive activity, including placing orders with false or stolen information, payment fraud, or chargeback abuse;
Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Site, our servers, or any connected systems or accounts;
Introduce viruses, malware, or other harmful code, or attempt to circumvent any security or access control measures;
Use any robot, spider, scraper, or other automated means to access the Site or collect data without our express written permission;
Reverse engineer, decompile, or disassemble any portion of the Site;
Resell or commercially exploit any portion of the Site or our products without authorization;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
Use the Site in any manner that could disable, overburden, or impair it, or interfere with anyone else's use of the Site.

14. Third-Party Links and Services

The Site may contain links to third-party websites and may rely on third-party providers such as payment processors, shipping carriers, and analytics or marketing tools. We do not control or endorse, and are not responsible for, any third-party websites, content, products, or practices. Your dealings with any third party are solely between you and that third party and are governed by its own terms and policies.

15. Relationship with Shopify

Nookinary is powered by Shopify, which enables us to provide the Site to you. However, any sales and purchases you make in our store are made directly with Nookinary. By using the Site, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Nookinary, including any injury, damage, or loss resulting from purchased products, and you release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Nookinary. Certain personal information may also be subject to Shopify's Privacy Policy.

16. Disclaimers of Warranties

To the fullest extent permitted by applicable law, the Site, the Content, and all products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error free, that defects will be corrected, or that the information on the Site is always complete or accurate.

Many of our products are kitchen tools and fixtures. You are responsible for using each product as intended and following any included instructions and warnings, including handling knives and other sharp tools with care, keeping them away from children, and having sinks and other fixtures installed properly (by a licensed plumber where required). No advice or information obtained from us creates any warranty not expressly stated in these Terms.

This section does not affect any rights that cannot be excluded or limited under applicable consumer protection law. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

17. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Nookinary or our affiliates, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site, the Content, or any products purchased through the Site, whether based on warranty, contract, tort (including negligence), or any other legal theory. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms, the Site, or any product will not exceed the amount you paid us for the product(s) giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless Nookinary, Shopify, and our respective affiliates, officers, employees, agents, suppliers, and licensors from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site or any products, your violation of these Terms, your User Content, your violation of any law or third-party right, or any misuse of your account.

19. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, the Site, or any products purchased through the Site are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. Subject to the "Dispute Resolution" section below, any legal action arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any rights you may have under the mandatory consumer protection laws of your state of residence.

20. Dispute Resolution

20.1 Informal Resolution. If something goes wrong, we'd much rather sort it out directly. Before initiating any formal legal action, you agree to first contact us at hi@nookinary.com and give us at least 30 days from your written notice to try to resolve the dispute informally.

20.2 Individual Claims. If we can't resolve a dispute informally, it will be handled under the "Governing Law and Jurisdiction" section above. To the extent permitted by law, any claim must be brought in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

20.3 Your Consumer Rights. Nothing in this section limits any rights you have under applicable consumer protection laws, including any right to bring an individual action in small claims court.

21. Electronic Communications

By using the Site or placing an order, you consent to receive communications from us electronically, including order confirmations, shipping updates, and service notices, and you agree that these satisfy any legal requirement that such communications be in writing. If you opt in to marketing emails or text messages, you can opt out at any time using the unsubscribe instructions in those messages or by contacting us at hi@nookinary.com; for text messages, message and data rates may apply, and consent is not a condition of purchase. We may still send you transactional messages about your orders. See our Privacy Policy for how we handle your personal information.

22. Accessibility

We want the Site to be usable by as many people as possible, including people with disabilities. If you have difficulty using any part of the Site or need an accommodation, please contact us at hi@nookinary.com and we'll do our best to help.

23. Force Majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic, war, civil unrest, labor disputes, government actions, internet or utility outages, cyberattacks, and carrier or supply chain disruptions.

24. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last updated" date above. Changes become effective when posted and will not apply retroactively to orders already placed. Your continued use of the Site after changes take effect means you accept the revised Terms.

25. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

26. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing to be effective.

27. Survival

Any provisions of these Terms that by their nature should survive termination will survive, including those relating to intellectual property, user content, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

28. Entire Agreement and Assignment

These Terms, together with our Shipping Policy, Refund Policy, Privacy Policy, and any other policies posted on the Site, constitute the entire agreement between you and us regarding your use of the Site and your purchases, and supersede all prior understandings on the same subject. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
